Legal Agreement

These Terms and Conditions constitute a legally binding agreement between you and Prism Insights. By accessing our website or using our services, you acknowledge that you have read, understood, and agree to be bound by these terms.

These terms apply to all visitors, users, and others who access or use our services. If you disagree with any part of these terms, you must discontinue use of our services immediately.

Warranties that services will be uninterrupted, timely, secure, or error-free
Warranties regarding the results obtained from use of our services

We do not warrant that defects will be corrected or that our services are free of viruses or other harmful components. You acknowledge that your use of our services is at your sole risk.

2. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Prism Insights, its affiliates, officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

Loss of profits, revenue, or business opportunities
Loss of data or information
Loss of goodwill or reputation
Costs of procurement of substitute services
Any other indirect or consequential losses

This limitation applies regardless of the legal theory on which the claim is based, whether in contract, tort, negligence, strict liability, or otherwise, even if we have been advised of the possibility of such damages.

Our total liability to you for all claims arising out of or relating to these terms or our services shall not exceed the amount you paid to us for services during the twelve months preceding the claim.

3. Educational Outcomes

While we strive to provide high-quality educational content and instruction, we make no guarantees regarding:

Specific learning outcomes or skill acquisition
Career advancement or employment opportunities
Certification or credential recognition by third parties
Compatibility with specific professional or academic requirements

Individual results depend on numerous factors including prior knowledge, effort, dedication, and circumstances beyond our control.

4. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, governmental actions, internet or telecommunications failures, or other force majeure events.

Legal Information and Dispute Resolution

1. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Tokyo, Japan for the resolution of any disputes.

2. Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these terms or our services, the parties agree to first attempt to resolve the matter through good faith negotiations. If the dispute cannot be resolved through negotiation within 30 days, either party may pursue resolution through the following procedures:

Mediation by a mutually agreed-upon neutral third party
If mediation is unsuccessful, arbitration in accordance with the Commercial Arbitration Rules of the Japan Commercial Arbitration Association
As a last resort, litigation in the courts of Tokyo, Japan

3. Severability

If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its intent. If modification is not possible, the provision shall be severed, and the remaining provisions shall continue in full force and effect.

4. Entire Agreement

These Terms and Conditions, together with our Privacy Policy and any other legal notices or agreements published on our website, constitute the entire agreement between you and Prism Insights regarding your use of our services and supersede all prior or contemporaneous communications and proposals.

5. Waiver

Our failure to enforce any right or provision of these terms shall not constitute a waiver of such right or provision. No waiver shall be effective unless made in writing and signed by an authorized representative of Prism Insights.

6. Assignment

You may not assign or transfer these terms or your rights and obligations under these terms without our prior written consent. We may freely assign or transfer these terms and our rights and obligations without restriction. Any attempted assignment in violation of this provision shall be null and void.

7. Modifications to Terms

We reserve the right to modify these Terms and Conditions at any time. We will provide notice of material changes by:

Posting the updated terms on our website with a new effective date
Sending email notification to registered users
Displaying a prominent notice on our website

Your continued use of our services following notice of changes constitutes your acceptance of the modified terms. If you do not agree to the modified terms, you must discontinue use of our services.

8. Survival

The provisions of these terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
